ARTICLE I: Name
The name of this organization shall be “Spaulding High School Alumni Association.”
ARTICLE II: Object
The object of this Association shall be to keep alive the interests of the graduates of Spaulding High School in the Alma Mater.
ARTICLE III: Membership and Dues
Section 1: All graduates of Spaulding High School shall be considered life time members of the Association upon payment of dues of $1.00 or an amount determined by the Executive Committee of the Association.
Section 2: All instructors in the Spaulding High School, who are not graduates of the school, shall be considered honorary members.
ARTICLE IV: Officers and Executive Committee
Section 1: The officers of this Association shall be a President, a Vice-president, and a Secretary-Treasurer.
Section 2: The President and Vice-president shall be elected annually from the members of the Executive Committee. The Secretary-Treasurer shall be elected annually from the general membership. The office of Secretary-Treasurer may be a paid position. The salary, if any, shall be determined annually by the Executive Committee.
Section 3: There shall be twelve members on the Executive Committee, all graduates of Spaulding High School. Of these twelve, six members, for six year terms, shall be parents of students in the school system, and, whose terms shall expire in rotation, over a period of six years. The remaining six members of the Committee, chosen at large, shall hold terms of one year. There is no term limit.
Section 4: The officers of the Association and the Executive Committee shall have general supervision of all the interests of the Association and shall have power to appoint such other committees as they may find necessary and desirable.
Section 5: Any vacancy occurring in the Executive Committee, or any office, may be filled by a majority vote of the Executive Committee. A committee member, or officer, appointed to fill a vacancy shall serve for the unexpired term of his predecessor.
ARTICLE V: Duties of Officers
Section 1: It shall be the duty of the President to preside at all gatherings of the Association and to have a general supervision of all its interests.
Section 2: It shall be the duty of the Vice-president to assist the President, upon request, and to assume the duties of the President in the event of the President’s absence, disability, or death.
Section 3: It shall be the duty of the Secretary-Treasurer to keep all records,receive, and hold all money, and to pay all bills of the Association upon order of the President.
ARTICLE VI: Meetings
Section 1: The annual meeting of the Association shall be held prior to the date of the Spaulding High School graduation.
Section 2: Special meetings may be called by the President or by three members of the Executive Committee, provided a three day notice of the meeting is published in the local newspaper.
ARTICLE VII: Social Gatherings
The Executive Committee shall arrange for alumni activities and other social events.
ARTICLE VIII: Non-Profit Organization
Section 1: No part of any net earnings of the Spaulding High School Alumni Association will inure to any member or individual of said organization.
Section 2: Should the Spaulding High School Alumni Association be dissolved, the assets of said organization shall be distributed for an exempt purpose as described in the regulations of the Internal Revenue Code of 1954, number 1.501 (C) (3) (1).
ARTICLE IX: Amendment
This constitution may be amended by a majority vote of those present at any annual or special meeting.
